3. Legal status of DISTRIBUTOR
DISTRIBUTOR purchases, distributes and sells the Products in its own name and for its own account. DISTRIBUTOR shall not be in any way deemed to be the agent or representative of IAG. DISTRIBUTOR is not authorized to act in the name of IAG and shall have no power to bind IAG in any way. DISTRIBUTOR acts as an independent merchant as regards both IAG and its customers and uses its own employees. IAG shall therefore not be accountable for such employees in any way.
DISTRIBUTOR undertakes to carry out the marketing, distribution and sale of the Products in the Territory directly by itself.
DISTRIBUTOR may appoint sub-distributors within the Territory with prior written consent of IAG.
Unless otherwise agreed upon in writing by IAG, any expense incurred by DISTRIBUTOR in the sale, marketing, promotion or advertising of or in any other way connected with the Products shall be borne solely by DISTRIBUTOR.
DISTRIBUTOR confirms that it has obtained all necessary and legally required Registrations.
DISTRIBUTOR shall effect distribution in accordance with the legal provisions in force in the Territory and the current GDP rules.
