Except as expressly set forth in Section 3.02 and in this Section 3.03, Master Franchisee’s license to use the Spinneys Model and the Spinneys Marks in the Territory is exclusive, and Spinneys shall not use and license others to use the Spinneys Model and the Spinneys Marks in the Territory. Spinneys reserves all rights not expressly granted hereunder, including (among others) the rights to offer or sell, whether in or for the Territory or elsewhere, any products and/or services (1) not included in the Spinneys Model or (2) not offered or sold under the Spinneys Marks. Without limitation, Spinneys retains the right in its sole and absolute discretion to: (1) operate and grant to others the right to operate Outlets outside the Territory on such terms and conditions as Spinneys deems appropriate; (2) sell, anywhere, any products identified by the Spinneys Marks, or by other marks, in any channel of distribution including, without limitation, retail, wholesale, mail order, Internet, and/or delivery sales; (3) engage in, and authorize others to engage in, any businesses not using the Spinneys Marks; and (4) use any and all other rights in and to the Spinneys Model and the Spinneys Marks. In particular, we (and/or any of the Franchisor-Related Persons/Entities) may, from time to time, develop new/revised business concepts, and related products and services, whether in connection with (and/or using) the Marks, the Spinneys Model or otherwise, and which may be similar to the business(es) covered by the Master Franchise and/or any subfranchise, and to be offered through any channels of distribution, located anywhere and offering products and services to customers located anywhere. Such concepts, products and/or services are not included in the Spinneys Model, and neither you nor any of your Unit Franchisees has any rights to, or with respect to, them. In our sole and absolute discretion, we may incorporate such concepts, products and/or services in the Spinneys Model (in which case you and each of your Unit Franchisees will use and offer them) and they will be subject to this Agreement or we may, without limitation, develop, distribute, franchise, use and/or offer such concepts, products and/or services through alternative or other channels of distribution, located anywhere and offering products and services to customers located anywhere.
