8.17 Conduct the business in accord

8.17 Conduct the business in accordance with highest business standards and shall not do any act which will or may reflect adversely upon the business, integrity or goodwill of the Company.

8.18 Agrees to obtain, maintain and keep in full force and effect, at Distributor’s expense, insurance coverage in such amounts as are usual for a prudent Distributor in the Territory, in respect of its business of distribution, which includes but not limited to, the transportation, storage, sale and / or use of any of the Products and any customer claims. Distributor shall promptly provide copies of the relevant policies upon Company’s request.

8.19 The Distributor represents and warrants that they will strictly comply with all applicable anti-corruption, anti-trust, anti-bribery or other criminal laws, rules or regulations in respect of the activities contemplated by this Distribution Agreement and will include a corresponding Clause in all its business contracts. Further, the Distributor warrants that he shall not directly or indirectly promise, offer or will give any third person or entity any unlawful benefit in order to influence any official action or secure an improper advantage in relation to this business. The Distributor further acknowledges the Company’s authority to audit all the awarded contracts in relation to the business by its Audit Verification Officer, if required, to confirm the compliance of this Clause and the non-inclusion or non-compliance of the same shall be a valid ground for termination.

8.20 To obtain the target figures agreed in Article 6 and the Company reserves the right to terminate the Agreement in case of non-compliance.

Article 9 – Usage of “NAFFCO” Trade mark:
The brand name of the products “NAFFCO” symbol, logo etc. remains the absolute property of the NAFFCO Group. The NAFFCO trademark is an intellectual property and extremely valuable Company assets and Company relies in great measure on the goodwill the trademark represents.

The Distributor shall follow the best mentioned guidelines:

9.1 The trademark “NAFFCO” shall not be used except for the Products covered under this agreement.

9.2 Always the registered trademark symbol (i.e., ® ) shall be used at least once when the “NAFFCO®” trademark referenced in business literature, quotations or advertising. This reference should appear at least once in each marketing item and exactly as shown in the attached document.

9.3 The trademark “NAFFCO” shall always be used in a distinctive manner that conveys a special nature / meaning of the mark, as instructed by the Company.

9.4 The Distributor will be responsible to inform the Company immediately, if any other party seeking to register or misuse “NAFFCO” trade mark and name within the territory of the Distributor and shall also bring to the attention of the Company any improper or wrongful use of Company’s Patent, Trademark, emblems, designs, models or other similar industrial or commercial, patented or proprietary rights which may come to the Distributor’s notice and shall assist the Company in case any such dispute arise.

9.5 Upon termination of this agreement, the Distributor shall immediately discontinue the usage of the Company’s trademarks, logos, business signs, etc.

This clause shall be valid and survives even after the termination, caused for whatever may be the reason and by whomsoever it may be.
